These Terms of Sale (“Terms of Sale”) govern the purchase of products from Miyawora (“we,” “us,” or “our”) through our online store. They explain how sales contracts are formed, how pricing and payment work, how delivery is handled, and what customer rights and obligations apply when you place an order with us. 

These Terms of Sale apply together with our Privacy Policy, Return & Refund Policy, Shipping & Delivery Policy, Legal Notice, and Terms of Service. If a mandatory consumer protection rule in your jurisdiction grants you stronger rights, that mandatory rule prevails over any conflicting term in this document. 

1. Scope and Acceptance 

By placing an order with Miyawora, you confirm that you have read and accepted these Terms of Sale. These Terms apply to all product purchases made through our website unless a separate written agreement explicitly applies to a specific transaction. 

  • You must be legally capable of entering into a binding contract in your jurisdiction. 

  • Orders may only be placed for lawful purposes and for delivery to destinations that we currently serve. 

  • We may restrict or decline orders that appear fraudulent, abusive, commercially unreasonable, or prohibited by law or sanctions rules.

We reserve the right to limit sales to specific territories or customer groups. Our current intended sales markets are the United States of America. We may decline orders for destinations that are not supported operationally or legally. 

  • Stock status shown on the site may not always reflect real-time inventory or supplier availability. 

  • We may limit quantities per customer, household, address, account, or order where reasonably necessary. 

4. Pricing, Currency, and Promotions 

All prices displayed on the website are shown in unless otherwise stated, are displayed in United States Dollars (USD) unless otherwise stated. Prices may be updated from time to time, and promotional pricing may be limited in duration, stock, product scope, or customer eligibility. 

Unless we explicitly state otherwise, the price shown at checkout includes only the charges identified there. We reserve the right to correct typographical errors, pricing mistakes, or product information errors at any time, including after an order has been submitted. If a material pricing error affects your order, we may cancel the order and notify you, or offer you the opportunity to proceed at the correct price, subject to applicable law. 

  • Coupon codes, discounts, bundles, and promotional offers cannot be combined unless expressly allowed. 

  • Promotions have no cash value unless local law requires otherwise. 

  • We may suspend, withdraw, or modify promotions at any time, subject to applicable law. 

5. Taxes, Duties, and Import Charges 

Taxes may be included or excluded from the displayed price depending on your location and checkout flow. Our current pricing approach is tax calculated at checkout 

For international orders, customs duties, import taxes, clearance fees, brokerage charges, or similar governmental fees may apply. Unless expressly stated otherwise at checkout or in our shipping policy, these charges are customer puys dutıes/taxes 

6. How Orders Are Placed and When the Contract Is Formed 

Submitting an order through our website constitutes an offer by you to purchase the selected products subject to these Terms of Sale. After you place an order, you may receive an automated order acknowledgment email. That acknowledgment confirms receipt only; it does not itself mean that we have accepted your order. 

A binding sales contract is formed only when we accept the order and, where relevant, dispatch the product, issue a shipping confirmation, or otherwise expressly confirm that the order is being fulfilled. We may decline an order before acceptance for lawful reasons including stock shortages, fraud risk, payment issues, destination restrictions, or obvious listing errors. 

7. Payment Authorization and Billing 

You agree to provide current, complete, and accurate billing, payment, and contact information for every purchase. By submitting your order, you authorize us and our payment providers to verify payment details and charge the total amount due, including product price, shipping fees, taxes, and any other charges disclosed at checkout. 

We currently accept payment by  (SHOPIFY PAYMENTS, CREDIT / DEBIT CARD, STRİPE). We may refuse or reverse transactions where fraud, unauthorized activity, chargeback abuse, or payment irregularities are reasonably suspected. 

8. Shipping, Delivery, and Estimated Timelines 

Shipping methods, handling times, and estimated delivery windows are described in our Shipping & Delivery Policy and at checkout where available. Delivery estimates are provided for convenience and are not guaranteed unless mandatory law provides otherwise. 

  • Orders may be shipped in one or multiple parcels depending on stock location, supplier handling, or logistical constraints. 

  • We are not responsible for delays caused by customs processing, carriers, weather, force majeure events, inaccurate addresses, local disruptions, or circumstances beyond our reasonable control. 

  • You are responsible for providing a complete and accurate delivery address and for monitoring tracking information where available. 

9. Transfer of Risk and Title 

Risk of loss or damage passes  UPON DELIVERY TO THE CUSTOMER  Legal title to the goods passes, upon full payment unless mandatory law in your jurisdiction states otherwise. 

10. Cancellations Before Shipment and Change-of-Mind Rights 

If you wish to cancel an order before shipment, contact us as soon as possible at catluxury@miyawora.com. We handle cancellation requests on a best-efforts basis and cannot guarantee cancellation once processing has started. 

If your jurisdiction grants consumers a statutory right to withdraw from distance purchases, or if we voluntarily offer a change-of-mind cancellation window, that right or policy is summarized as follows:You may withdraw from the contract or request a cancellation within 14 days of receiving your goods. To exercise this right, you must notify us a us via email. Returned items must be in their original, unused condition and packaging. 

11. Returns, Refunds, and Refused Shipments 

Returns, refunds, replacements, exchanges, store credit, and return eligibility are governed by our Return & Refund Policy and any mandatory consumer laws that apply to your purchase. Please read that policy carefully before placing an order. 

If a parcel is refused, unclaimed, or returned because of an incorrect address, failure to pay import charges, or repeated failed delivery attempts, we may deduct the original shipping cost, return fees, customs charges, or carrier penalties from any refund to the extent permitted by law. Our current operational rule is Refused or unclaimed shipments will be subtracted from the final refund amount. 

12. Product Conformity and Consumer Guarantees 

Nothing in these Terms of Sale limits any legal guarantee of conformity, statutory warranty, or mandatory consumer remedy that applies under the law of your country. If goods arrive damaged, defective, materially not as described, or otherwise non-conforming, you may be entitled to repair, replacement, price reduction, rescission, or another remedy required by applicable law.

13. Digital Elements, Pre-Orders, and Product Restrictions 

If any product includes digital elements, downloadable content, pre-order status, made-to-order production, hygiene restrictions, age restrictions, or other special purchase conditions, those conditions will be described on the relevant product page and will form part of the sales contract. We may cancel or delay pre-orders if supply chain, manufacturing, or compliance issues occur. 

14. Limitation of Commercial Liability 

Nothing in these Terms of Sale excludes liability that cannot lawfully be excluded. Subject to that rule, and to the maximum extent permitted by law, we are not liable for indirect or consequential commercial losses arising from late delivery, stock shortages, pricing errors, or order cancellation, including lost profits, loss of opportunity, or business interruption. This clause does not reduce any mandatory remedy available to consumers. 

15. Force Majeure 

We are not liable for failure or delay in performing a sales obligation where the delay or failure results from events beyond our reasonable control, including natural disasters, pandemics, labor disputes, carrier disruption, customs intervention, power failures, cyber incidents, government action, raw material shortages, or supplier breakdowns. In such cases, we may suspend, delay, or cancel affected orders and will provide any refund required by law. 

16. Complaints, Governing Law, and Dispute Handling

These Terms of Sale are governed by the laws of ( The state of Wyoming,USA), without prejudice to any mandatory consumer protections that apply in your place of residence.

17. Changes to These Terms of Sale 

We may update these Terms of Sale from time to time to reflect legal, operational, logistical, or commercial changes. The version published on our website at the time of your order will generally apply to that purchase unless mandatory law requires otherwise. The latest version will always display its effective date.
